1. About These Terms

These Terms and Conditions ("Terms") govern your access to and use of the Varma Electronics website (the "Site") operated from H.B Colony, Bhavanipuram, Vijayawada – 520012, Andhra Pradesh, India ("Varma Electronics", "we", "us", "our"). By creating an account, placing an order, or otherwise using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. Account Types and Eligibility

The Site serves three categories of customers, each with pricing and ordering flows suited to their use case:

• Retailer accounts – individual and walk-in customers purchasing at listed retail prices.
• Reseller accounts – registered resellers purchasing at wholesale tiers, subject to admin approval and any applicable minimum order quantities.
• Institution accounts – colleges, labs and institutions purchasing via quotation requests, subject to admin approval.

You must be at least 18 years old, or place orders on behalf of a business/institution that you are authorised to represent, to use the Site. Reseller and Institution accounts require verification and approval before wholesale or quotation pricing becomes active; until approved, an account may be limited to retail pricing or restricted from checkout.

3. Account Registration and OTP Verification

Registration requires a valid mobile number, which is verified using a one-time password (OTP) sent via WhatsApp. You are responsible for keeping your mobile number, email address and business/institution details accurate and up to date, and for maintaining the confidentiality of your account/session. Notify us immediately if you suspect unauthorised use of your account.

4. Product Listings, Pricing and GST

We make reasonable efforts to display accurate product descriptions, specifications, stock availability and pricing. Unless stated otherwise, prices shown at checkout are inclusive of applicable GST. Reseller accounts may see an optional cash price without a GST bill for certain products where enabled by us; selecting that option means no GST invoice will be issued for that line item.

Despite our efforts, listings may occasionally contain typographical errors, inaccuracies or omissions relating to price, stock or specifications. We reserve the right to correct any such errors and to cancel or refuse any order arising from them, whether or not the order has been confirmed, in which case any amount already collected will be refunded.

5. Orders, Payment and Cancellation

Placing an order is an offer to purchase, which we may accept or decline at our discretion (for example, where stock is unavailable, payment cannot be verified, or the order appears fraudulent or abusive). At checkout you can choose Door Delivery (paid online upfront via our payment gateway partner, shipped by courier to your address) or, where offered, Offline Transport (product cost and transportation charges are settled locally at the time of shipping rather than paid online at checkout). Orders can generally be cancelled free of charge before they are shipped; once an order has been dispatched it is handled under our Shipping Policy and Refund, Return & Exchange Policy.

6. Bulk, Reseller and Institutional Orders

Reseller stock orders and institutional quotation requests are reviewed and confirmed by our team before being finalised. Prices, quantities and delivery timelines for such orders may be adjusted by mutual agreement (for example, over WhatsApp or email) before an order is accepted.

7. Intellectual Property

All content on the Site – including text, graphics, logos, product photography and the "Varma Electronics" name and branding – is owned by or licensed to us and may not be copied, reproduced or used without our prior written consent, except as necessary to place an order.

8. Acceptable Use

You agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Attempt to gain unauthorised access to any account, system or data on the Site;
• Interfere with or disrupt the Site's operation, including through automated scraping or abuse of the checkout, OTP or quotation systems;
• Provide false identity, business or institutional information when registering an account.

9. Limitation of Liability

To the maximum extent permitted by law, Varma Electronics shall not be liable for any indirect, incidental or consequential loss arising from your use of the Site or products purchased through it, including loss arising from delays in delivery caused by our courier partners, payment gateway issues, or misuse of a product after delivery. Nothing in these Terms limits any liability that cannot be excluded under applicable Indian law, including under the Consumer Protection Act, 2019.

10. Third-Party Services

Certain functions on the Site are provided through third parties, including payment processing, courier and shipment tracking, and WhatsApp-based order/OTP notifications. Your use of those functions is also subject to the relevant third party's own terms, to the extent applicable.

11. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services or legal requirements. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the courts at Vijayawada, Andhra Pradesh.
